Non-Exclusive — Between JOIN BIZ LIST LLC d/b/a Biz List and the Seller identified below

Version 0.3 · Last updated October 15, 2026

Effective Date: October 15, 2026 — Last Updated: October 15, 2026 — Version 0.3

This Seller Listing / Marketing Authorization Agreement ("Agreement") is between JOIN BIZ LIST LLC, a Louisiana limited liability company (charter no. 47221711K), d/b/a Biz List, 3908 Perrier Street, New Orleans, LA 70115 ("Biz List"), and the business owner or authorized representative who accepts it, on behalf of the business identified in the account (together, "Seller"). It supplements the Biz List Terms of Service ("Terms").

1. What You Are Authorizing

By opting in, Seller gives Biz List a non-exclusive, revocable authorization to use the Platform to try to introduce Seller to buyers who have completed Biz List's verification process ("Verified Buyers"), by sharing information about Seller's business in the stages described in Section 3.

2. Non-Exclusive; Introduction Only

Non-exclusive. Seller may market the business itself, use a licensed broker, or use any other service at any time. Seller owes Biz List nothing if Seller sells through anyone else.

Introduction only. Biz List is not Seller's broker, agent, mandatary, or fiduciary. Biz List will not screen buyers for fit, negotiate, advise on price or terms, solicit offers on Seller's behalf, prepare transaction documents, hold funds, or handle closing. Seller decides whether to talk to any buyer and on what terms, with Seller's own advisors.

No success fee. Biz List does not charge Seller anything for matching and never charges anyone a commission or success fee. Biz List's only charge in connection with Seller's listing is a flat fee to Verified Buyers for information products, such as due diligence packets, as described in Section 5. Seller does not receive any share of those fees.

No guarantee. Biz List does not promise any match, interest, offer, price, or closing.

3. One-Time Authorization and Staged Disclosure

One-time, blanket authorization. By accepting this Agreement, Seller gives a single, standing authorization that covers every Verified Buyer. Biz List will not ask Seller to approve buyers one at a time. Seller understands that this lets Biz List show the opportunity to many buyers at once and that Seller's identity and Detailed Information may be disclosed to any number of Verified Buyers, subject only to Section 3A (Exclusion List), Section 7 (Revocation), and the conditions below.

Stage 1 — Anonymized Teaser. Biz List may show all Verified Buyers not on the Exclusion List a teaser that does not name the business or Seller and is designed not to identify them. It may include: industry, general region (for example, metro area or state), years in business, revenue and earnings ranges, employee range, indicative valuation range, and a short AI-assisted description. As part of opting in, Seller previews the teaser once and may edit it or ask that any item be removed before it goes live.

Stage 2 — Buyer NDA. Before any Verified Buyer sees anything beyond the teaser, the buyer must accept the Buyer Confidentiality and Non-Circumvention Agreement ("Buyer NDA") for this listing.

Stage 3 — Full Disclosure, without further Seller approval. Once a Verified Buyer has accepted the Buyer NDA and is not on Seller's Exclusion List, Biz List may share with that buyer, without asking Seller again: the business name and location, Seller's contact information, confirmed financial data, tax return data, uploaded financial statements, photos, and other materials Seller has marked as shareable ("Detailed Information"), and may offer that buyer a due diligence packet for purchase.

Choosing what is shareable. At opt-in, Seller chooses, item by item, which uploaded documents are shareable at Stage 3. Seller may change those choices at any time going forward. Unless Seller marks a document shareable, Biz List will share only the confirmed data summary.

3A. Exclusion List

Seller may list, at opt-in or any time later, named people, companies, or categories (for example, competitors in a particular industry or parish, a current landlord, a specific PE firm, or Seller's employees) whom Seller does not want to receive the teaser or Detailed Information (the "Exclusion List"). Biz List will use reasonable efforts to keep excluded parties from receiving the teaser or Detailed Information by matching against buyer names, entity names, affiliated entities disclosed in verification, and email domains. Seller understands that matching is imperfect: a buyer may act through an undisclosed affiliate, and an anonymized teaser may be seen before an exclusion is added. Exclusions apply going forward from when they are saved.

3B. Notices to Seller

Biz List will notify Seller by email and in the account dashboard each time a Verified Buyer (a) accepts the Buyer NDA and accesses Seller's Detailed Information for the first time, or (b) purchases a due diligence packet for Seller's business. Each notice will identify the buyer's name or entity, buyer type, and verification status. These notices are for Seller's information only; Seller's approval is not required, but Seller may respond by adding the buyer to the Exclusion List or revoking going forward (Section 7). Seller may also view a running log of every buyer who has received Detailed Information.

4. Seller's Promises

Seller represents and promises that:

Seller owns the business or is authorized to market it, and has any consent needed from co-owners, members, partners, the board, lenders, landlords, franchisors, or a spouse;

the information and materials Seller provides and confirms are accurate and not misleading to Seller's knowledge, and Seller will update them if they change materially;

Seller has the right to share all materials, including photos, and doing so does not breach any confidentiality agreement, lease, franchise agreement, or law;

Seller will not include personal information of employees, customers, or others in shareable materials unless Seller has the right to share it and it is necessary; and

if the business owns or leases real estate, or the transaction may involve an interest in real estate or securities, Seller will obtain advice from appropriately licensed professionals.

5. Due Diligence Packets

Seller authorizes Biz List to use Seller's confirmed data and shareable materials to create AI-assisted due diligence packets and to sell them for a flat fee to any Verified Buyer who has accepted the Buyer NDA and is not on the Exclusion List, without further approval from Seller. One-time packet review and automatic release. After Seller opts in, Biz List will generate the packet for the listing and notify Seller by email and in the dashboard that it is ready for Seller's one-time review (the "Review Notice"). Seller may review the packet and ask Biz List to correct factual errors or remove materials Seller has not marked shareable. The packet is released for sale to eligible Verified Buyers on the earlier of: (a) immediately when Seller clicks "Approve Packet"; or (b) automatically five (5) calendar days after the Review Notice is sent, if Seller has not finished the review by then. Seller's silence or inaction during the 5 days counts as consent to release. Release is a one-time event; Biz List will not ask Seller to approve each sale or each buyer. After release, Seller may still ask Biz List to correct errors in the packet going forward, and corrections apply to packets delivered after the correction is made. Seller's right to revoke, pause, and update the Exclusion List under Sections 3A and 7 continues to apply to all packet sales after release.

Seller understands packets are AI-generated, may contain errors, and are labeled that way. Seller receives no share of packet fees.

6. Confidentiality and Use of Seller Information

Biz List will use Seller information only as described in this Agreement, the Terms, and the Privacy Policy. Biz List will require every buyer to accept the Buyer NDA before receiving Detailed Information and will keep a record of each acceptance. Seller is an intended third-party beneficiary of every Buyer NDA covering Seller's information (a stipulation pour autrui under Louisiana Civil Code articles 1978–1982) and may enforce it directly against the buyer, including by seeking an injunction, without Biz List joining the suit. On request, Biz List will give Seller a copy of the accepted Buyer NDA and its acceptance record for any buyer that received Seller's information, and will otherwise reasonably cooperate. Biz List is not responsible for a buyer's breach.

7. Revocation at Any Time (Going Forward)

Seller may revoke this authorization at any time, for any reason, in account settings or by emailing ryan@joinbizlist.com. Seller may also pause the listing, unpublish the teaser, narrow the shareable documents, or add to the Exclusion List at any time. Revocation and other changes take effect for new disclosures and new packet sales within one business day. Revocation works going forward only: it does not undo disclosures already made to buyers who accepted the Buyer NDA, but those buyers remain fully bound by it, and on Seller's request Biz List will send each of them a written return-or-destroy demand and cut off their Platform access to Seller's materials. Biz List may remove any listing at any time.

8. Disclaimers, Liability, and Disputes

The valuation range is indicative only and is not an appraisal. Biz List makes no warranty about any buyer, including any Verified Buyer's identity, funds, financing, or intentions. The disclaimers, limitation of liability, indemnity, governing law (Louisiana), venue (Orleans Parish), and electronic signature provisions of the Terms apply to this Agreement.

9. Acceptance

By clicking "I Agree and Opt In to Matching," Seller agrees to this Agreement, including the one-time authorization in Section 3 to share Detailed Information with any number of Verified Buyers who accept the Buyer NDA without further approval, and confirms the person clicking has authority to bind the business. Biz List will record the date, time, account, IP address, and version accepted and will email Seller a copy.
