Version 0.3 · Last updated October 15, 2026

Effective Date: October 15, 2026 — Last Updated: October 15, 2026 — Version 0.3

These Due Diligence Packet Purchase Terms ("Packet Terms") apply when a Verified Buyer ("you") buys a due diligence packet ("Packet") from JOIN BIZ LIST LLC, d/b/a Biz List, 3908 Perrier Street, New Orleans, LA 70115 ("Biz List"). They add to the Terms of Service and the Buyer Confidentiality and Non-Circumvention Agreement ("Buyer NDA"), both of which also apply.

1. What a Packet Is

A Packet is an information product, generated in whole or in large part by artificial intelligence, that organizes and summarizes information supplied by a Seller. It may include summarized financials drawn from the Seller's tax returns and financial statements, trend charts, AI-written commentary, a list of suggested diligence questions, and photos of the business provided by the Seller. A Packet is available only for a business whose Seller has opted in to matching, only after you accept the Buyer NDA for that listing, and only if you are not on that Seller's exclusion list. The Seller will be notified that you purchased the Packet. A Packet becomes available for purchase once it is released: either when the Seller approves it after a one-time review, or automatically five (5) calendar days after Biz List asks the Seller to review it, whichever comes first. The Seller's review is limited to correcting errors and removing materials it has not authorized sharing; a released Packet has not been verified or endorsed by the Seller.

A Packet is not: an audit, review, or compilation of financial statements; a quality-of-earnings report; an appraisal or fairness opinion; a legal, tax, environmental, or title review; an inspection of the business, its premises, or its equipment; or investment advice or a recommendation to buy.

2. Fee and Payment

Fee: the price per Packet, plus any applicable taxes, as shown at checkout before you pay.

Payment: charged at checkout through our payment processor. You authorize the charge.

Flat fee only. The fee is a flat charge for the information product. It is not contingent on, and Biz List receives nothing more based on, whether you make an offer or close a transaction, or the price. Biz List does not share packet fees with Sellers.

Delivery: Released Packets are delivered digitally in your account after payment. If you order a Packet that has not yet been released, it will be delivered when it is released (no more than five (5) calendar days after the Seller's review request), and you may cancel for a full refund before delivery.

3. AI-Generated Content Disclaimer

PACKETS ARE AI-GENERATED. THEY MAY CONTAIN ERRORS, OMISSIONS, MISREAD FIGURES, INCORRECT CALCULATIONS, OUTDATED INFORMATION, OR STATEMENTS THAT SOUND AUTHORITATIVE BUT ARE FALSE.

The information in a Packet comes mainly from the Seller and has not been audited or independently verified by Biz List. Photos are supplied by the Seller and may not reflect current condition. Biz List does not guarantee the accuracy, completeness, or timeliness of any Packet.

4. No Reliance

You agree that you will not rely on a Packet as the basis for any decision to buy, invest in, lend to, or value a business. A Packet is a starting point for your own investigation only. You will rely solely on (a) your own independent investigation and that of your advisors and (b) the representations and warranties, if any, contained in a signed definitive agreement between you and the Seller. Biz List makes no representations or warranties to you about the Seller or its business.

5. Your Duty to Do Your Own Diligence

Before entering into any transaction, you are responsible for conducting your own full due diligence with qualified, independent advisors, which may include: verifying financials against bank statements, tax transcripts obtained directly from the IRS with the Seller's consent, and source records; quality-of-earnings work; legal review of contracts, leases, licenses, permits, litigation, liens, and UCC filings; tax and structuring advice; environmental, real estate, and title review; inspection of premises and equipment; and confirming any financing directly with a lender.

6. Refunds

Before delivery: if you cancel before the Packet is delivered, you get a full refund.

Failed or wrong delivery: if a Packet is not delivered, is for the wrong business, or is materially incomplete because of a technical error, we will redeliver or refund at your choice. Email ryan@joinbizlist.com within 7 days of purchase.

Seller withdrawal: if the Seller revokes its authorization or excludes you before delivery, you get a full refund.

Otherwise final: because Packets are digital content, all other sales are final once the Packet is delivered. Errors in Seller-supplied or AI-generated content do not by themselves entitle you to a refund, though we may give a refund or credit at our discretion.

Refunds go to the original payment method. Nothing here limits any non-waivable right you have under law or with your card issuer.

7. License and Confidentiality

You get a limited, non-transferable, non-exclusive license to use the Packet only for the Purpose defined in the Buyer NDA. The Packet is Confidential Information under the Buyer NDA. You may share it only with your Representatives as the Buyer NDA allows. You may not resell, publish, or upload it to a public AI tool. Packets may be watermarked with your account identity.

8. Access Period

Packets are available in your account for 12 months after purchase, or until the Seller withdraws or you are required to return or destroy Confidential Information, whichever comes first.

9. Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY LAW, BIZ LIST'S TOTAL LIABILITY ARISING FROM OR RELATED TO ANY PACKET IS LIMITED TO THE FEE YOU PAID FOR THAT PACKET. BIZ LIST IS NOT LIABLE FOR ANY LOSS FROM ANY TRANSACTION OR DECISION YOU MAKE, OR FAIL TO MAKE, WHETHER OR NOT YOU USED A PACKET.

This does not limit liability that cannot be limited under Louisiana Civil Code article 2004 (intentional or gross fault, or physical injury). The remaining disclaimers, indemnity, governing law, and venue terms of the Terms of Service apply.

10. Checkout Acknowledgment

☐ I UNDERSTAND THIS PACKET IS AI-GENERATED FROM SELLER-SUPPLIED INFORMATION, IS NOT VERIFIED OR AUDITED, AND IS NOT AN APPRAISAL OR ADVICE. I WILL NOT RELY ON IT AND WILL DO MY OWN DUE DILIGENCE WITH MY OWN ADVISORS. I AGREE TO THE PACKET TERMS, INCLUDING THE REFUND POLICY.
